Terms of Service – Prismora

These Terms (“Agreement”) outline how Prismora (“we,” “us,” or “our”) operates and what we expect when we work together. If you’re using our website or services, you’re agreeing to these Terms. If anything here gives you pause, reach out or refrain from proceeding.
1. What We Do
We provide tailored services in digital strategy, creative direction, marketing, consulting, and digital growth. When you hire us, you’re buying our brainpower, execution, and strategic judgment. Project specifics will be detailed in separate proposals or scope documents, which override these Terms where needed.
2. Your Role in This
You agree to give us timely and full access to accounts, platforms, and materials needed to do our work—things like social accounts, ad platforms, CRMs, and websites. If access is interrupted, revoked, or credentials are changed without notice, we reserve the right to pause or terminate services. We can't be responsible for missed results due to broken workflows.
3. Payment & Refunds
All payments are non-refundable unless we agree otherwise in writing. Late payments may pause active services and incur a late fee in line with applicable law. We reserve the right to halt progress on any deliverables until accounts are up to date.
4. Ownership & Rights (UCC)
Until we’ve been paid in full, we retain a security interest in all deliverables under the Uniform Commercial Code (UCC). That means we still own the work—designs, strategies, files—until balances are cleared. We reserve the right to protect our work through all available means.
5. Collections & Legal Boundaries (FDCPA & TFDCPA)
If your account becomes overdue and enters collections, we’ll follow all laws under the Fair Debt Collection Practices Act (FDCPA) and the Texas Fair Debt Collection Practices Act (TFDCPA). These laws prevent unfair practices. You'll be notified before any formal recovery steps are taken.
6. Credit Where It’s Due
We may include a small “Built by Prismora” or similar credit on the digital assets we create. If you want it removed, just ask—we’re reasonable. But we reserve the right to modify, remove, or disable attribution at any time. Unauthorized removal may breach this Agreement.
7. Compliance & Age Limits
You agree to use our services legally and ethically. Clients under 15 must have written guardian consent. If you're working in a regulated industry or jurisdiction, it's your responsibility to ensure we’re aligned with your compliance requirements.
8. Feedback & Reviews (CRFA)
You’re legally entitled to post honest reviews—we respect that. Nothing in this Agreement restricts your rights under the Consumer Review Fairness Act (CRFA). We simply ask that concerns be shared directly with us first so we can resolve them professionally.
9. Limits on Liability
We do our best, always. But if something goes wrong, Prismora isn’t liable for indirect or incidental damages. If we’re found at fault, our liability is capped at what you paid us in the 30 days before the issue occurred.
10. Legal Jurisdiction
This Agreement is governed by U.S. law and, if relevant, your local jurisdiction—including the UCC, FDCPA, and TFDCPA. We’ll comply with all applicable laws. Disputes will be handled in a forum that matches the scope and legal requirements of the matter.
Trademark Notice
“Prismora” is an unregistered trademark and brand of Kaleidoscope Marketing LLC. based in Austin, Texas. We retain all common law trademark rights in connection with the Prismora name and brand. Unauthorized use of the Prismora name, logo, or related brand assets is strictly prohibited.
